In the following agreement, the party who is granting the right to use the pictures will be referred to as "ZIP", and the party who is receiving the right to use the licensed property will be referred to as "licensee".

Picture set included in this license will be referred to as "PICS".

1. ZIP owns/distributes the PICS in accordance with this agreement, ZIP grants the licensee a non-exclusive website license to display and use the PICS for online user downloading from the licensee's website. ZIP retains title and complete ownership of the PICS. The licensee agrees not to sell or distribute the PICS on diskettes, CD ROMS or any other medium. The lisencee is not allowed to trade any of the PICS for a links on any other sites or any other service or product.

2. PICS may be displayed and used within all domains (one of which is provided by the licensee at the bottom of this agreement) which are owned and operated by the licensee. Licensee can use any portion of PICS for HTML design, logo design, banner design and WAP site design at no extra cost as long as respective designs are for websites and services owned and operated by the licensee. The Licensee is allowed to resize, rename or change the format of the images within PICS as long as the images are not manipulated to portray acts (i.e. Urination, defecation, insertion, etc.) other that those being performed in the original images. No portion of PICS can be posted in or on newsgroups, escort sites, sites containing bestiality, depictions of rape, murder or child pornography (real or not). All pictures, video or text within PICS must be viewed through the licensee's website(s).

3. The PICS is licensed and all models are over the age of 18 at the time of photography. ZIP retains the model releases and proper legal documents, and will produce model release for PICS in the event that PICS are challenged.

4. This agreement shall be binding on any successors of the parties. The licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent is obtained by ZIP. An administrative fee may apply.

5. This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement require that licensee must e-mail a completed copy of license agreement and receive a reference number provided by ZIP in order for this agreement to be binding. This agreement supersedes any prior written or oral agreements between the parties.

6. This agreement may be modified or amended by ZIP, and the amendment will be sent to the licensee in writing.

7. APPLICABLE LAW. This agreement shall be governed by the laws of the United States. The Licensee holds ZIP harmless for any legal issues relating the distribution of the PICS as it relates to the community standards and adult entertainment laws as set forth in the city/county, state or country of the Licensee and his or her websites. ZIP does not warrant PICS to be acceptable in licensee's community, and the licensee has assumed full responsibility of determining what PICS are suitable for distribution. P.R.E warrants the PICS are fully copyrighted, and the licensee warrants the PICS free of intellectual property violations only. All PICS are in compliance with U.S Federal and Canadian Laws. By signing below the licensee certifies that he/she received what he/she paid for and that he/she has downloaded a full copy of PICS for use on his/her website.
